Property For Sale

The business structure is as follows:

  1. Blue Barn Winery & Vineyard LLC (an Ohio LLC) operates the winery and is the entity that would face all the liability exposure should an adverse event occur. It is owned 100% by Environmental Finance Co. (an Ohio S-corporation). Thus, we have two nested corporate veils of protection. Neither of these entities own any real estate, equipment or intellectual property (TMs). It leases all of the above from four other separate LLCs. It does own the liquor licenses and permits, which are easy to transfer or even reestablish from scratch under a newly established LLC at any point in the future.
  2. Blue Barn Acres LLC (an Ohio LLC) owns four of the five parcels of real estate used by Blue Barn Winery & Vineyard LLC. This real estate is leased to the winery.
  3. Blue Barn Equipment LLC (an Ohio LLC) owns all the equipment used by or in association with the winery. This equipment is leased to the winery and is also secured by a UCC filing with the state of Ohio.
  4. Blue Barn Farm LLC (an Ohio LLC) owns one of the five parcels of real estate used by Blue Barn Winery & Vineyard LLC. This real estate is leased to the winery. The reason this one parcel is separated from the other four parcels is because it also contains a VRBO rental house (in addition to the winemaking warehouse and storage buildings) and can easily be cleaved off of the winery business in the future.
  5. Blue Barn IP LLC (an Ohio LLC) owns all Ohio and USPTO trademarks and copyrights. This intellectual property is licensed to the winery. Almost every BBW wine is trademarked. Many of our marketing slogans have also been trademarked.
